Description

Governors Island Corporation d/b/a The Trust for Governors Island (“the Trust”) seeks outside counsel through this RFP for legal services across a range of Maritime matters in connection with Governors Island, including but not limited to:

- Purchase, sale, and construction transactions involving vessels, naval architects, and shipyards

- Construction and other service agreements involving piers, docks, bulkheads, and other maritime infrastructure and equipment, as well as marine engineers and contractors

- Vessel operations and maintenance, including dry docks and vessel rehabilitation and overhaul

- Jones Act and other regulatory matters

- United States Coast Guard and other matters involving agency jurisdiction The Services to be provided by any selected Proposer(s) will be on an as-needed basis, as requested by the Trust, during a 5-year agreement term.

If a Proposer is selected pursuant to this RFP, the award will be conditioned upon any selected Proposers entering into a written retainer contract with the Trust, specifying the Services to be performed. The retainer contract will include but not be limited to the following required provisions:

1. The selected Proposer, while acting as legal counsel for the Trust, will not represent (or act in any other capacity for) any party in negotiations with the Trust in connection with the Services, or otherwise do anything to create any real or perceived conflict of interest with Proposer’s role in providing the Services.

2. The Trust may cancel the retainer contract at any time upon 30 days’ written notice to the selected Proposer.

3. The selected Proposer will make a general statement that its hiring and other employee practices are non-discriminatory and otherwise in accordance with the law.

4. This retainer contract is for maritime legal counsel services and does not in any way obligate the Trust to use Proposer’s services for other matters.

5. The selected Proposer will comply with Mayor’s Executive Order 50 (1980) as amended, and the regulations thereunder, with respect to equal employment opportunity.

Unless a specific exception is noted, submission of a Proposal in response to this RFP will constitute agreement on the part of the Proposer that the above items will be incorporated into any resulting retainer contract with that firm.

Locally Based Enterprises (“LBE’s”) and Women- and Minority-owned Businesses (“MWBE’s”) are encouraged to respond to this RFP. Any Proposer must identify in its proposal whether it or, if applicable, any of its proposed sub-consultants are LBE’s or MWBE’s. Respondents are also encouraged, if applicable, to include LBE’s and MWBE’s as sub-consultants.
